Terms of Use

These terms cover your use of the ESS-AG Order Portal (the “Portal”), operated by ESS-AG of Sumner, Missouri (“ESS-AG”, “we”, “us”). By creating an account or using the Portal you agree to them.

1. Who can use the Portal

The Portal is for approved ESS-AG dealers and ESS-AG employees. Accounts are approved by ESS-AG and may be suspended or closed at any time. You are responsible for keeping your login private and for all activity on your account. Tell us right away if you think someone else has used it.

2. Orders, pricing and invoices

Orders placed in the Portal are offers to buy, accepted when ESS-AG confirms and invoices them. Prices, discounts, freight and payment terms are set by your ESS-AG dealer agreement and shown at the time of the order. Invoices are issued through QuickBooks Online. Sales tax is applied according to the exemption status on file for your account. ESS-AG may hold, change or cancel an order (for example, for stock availability or pricing errors) and will let you know if it does. Stock flags in the Portal are a guide only and are not a guarantee of availability.

3. Payments

Payments are made through the secure payment link on each QuickBooks invoice (for example, bank transfer/ACH), which is provided by Intuit QuickBooks Payments under its own terms. The Portal does not collect or store bank account or card numbers.

4. Your information

Information you enter, including your customers’ shipping details, must be accurate and you must have the right to share it with us. We use it as described in our Privacy Policy.

5. QuickBooks connection

ESS-AG connects the Portal to its own QuickBooks Online company to create invoices, check payment status and read inventory levels. Only ESS-AG administrators can connect or disconnect QuickBooks.

6. Acceptable use

Don’t misuse the Portal: no attempts to access other accounts or data, interfere with its operation, or use it for anything unlawful.

7. Availability and changes

We work to keep the Portal running but don’t promise it will always be available or error-free. You can always place an order by phone or email. We may update the Portal or these terms; continued use after a change means you accept it.

8. Disclaimer and limit of liability

The Portal is provided “as is.” To the extent allowed by law, ESS-AG is not liable for indirect, incidental or consequential damages arising from use of the Portal, and our total liability related to the Portal is limited to the amount you paid for the order involved. Product warranties are covered by your dealer agreement, not these terms.

These terms are governed by the laws of the State of Missouri.
